By accessing and using Genial Marketing ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Service.

2. Description of Service

Genial Marketing provides an AI-powered marketing intelligence platform for auto salvage yards and recyclers, including inventory analytics, automated marketing campaigns, marketplace listings, and demand intelligence.

3. User Accounts

To access platform features, you must create an account with accurate information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

4. Data and Content

You retain ownership of all inventory data and content you provide to the Service. By using the Service, you grant us a license to process your data solely for the purpose of providing and improving our services.

5. Acceptable Use

You agree not to misuse the Service, including but not limited to: attempting unauthorized access, interfering with other users, or using the Service for any unlawful purpose.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance or updates that temporarily affect service availability.

7. Limitation of Liability

Genial Marketing provides analytics and marketing tools as informational aids. We are not liable for business decisions made based on our analytics. The Service is provided "as is" without warranties of any kind.

8. Termination

Either party may terminate the service relationship at any time. Upon termination, your access to the platform will be revoked, and you may request export of your data.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. Please review it carefully.

10. Billing and Payments

Genial Marketing offers various subscription plans. Pricing details are provided during the onboarding process and are subject to change with 30 days written notice. All fees are non-refundable except as required by applicable law. If payment fails, we may suspend access to the platform until payment is resolved. You are responsible for all taxes associated with your subscription.

11. Intellectual Property

All content, features, and functionality of the Genial Marketing platform — including but not limited to software, algorithms, visual design, text, graphics, logos, and data models — are owned by Global Solutions Software and are protected by United States and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our platform without prior written consent.

12. Data Processing and Export

We process your inventory data solely to provide the services described on our platform. You retain full ownership of your data at all times. Upon termination of your account, you may request a complete export of your data in a standard format within 30 days. After 30 days, we may delete your data from our active systems, though backup copies may persist for up to 90 days as part of our standard disaster recovery procedures.

13. Third-Party Services

Genial Marketing integrates with third-party services including yard management systems, messaging platforms such as WhatsApp, social media networks, and marketplace platforms. We are not responsible for the availability, accuracy, or policies of these third-party services. Your use of third-party integrations is subject to those services' own terms and privacy policies.

14. Indemnification

You agree to indemnify and hold harmless Genial Marketing, Global Solutions Software, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the platform, your violation of these terms, or your infringement of any third party's rights.

15. Governing Law and Dispute Resolution

These terms are governed by the laws of the State of California, United States, without regard to conflict of law provisions. Any disputes arising from these terms or your use of the platform shall be resolved through binding arbitration in Los Angeles County, California, in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial.

16. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email or through a notice on our platform at least 30 days before they take effect. Your continued use of the platform after changes become effective constitutes acceptance of the revised terms. If you do not agree with the changes, you must stop using the platform and may request data export.
